Texas Secretary of State Transitioning to New SOSPortal System for Business Entity Filings
The Texas Secretary of State is preparing to launch the business filings portion of their new online filing platform, SOSPortal, with implementation scheduled for Monday, September 28, 2026. To facilitate the conversion, the Secretary of State’s SOSDirect and SOSUpload systems will be completely unavailable from 5pm on Thursday, September 24, through Sunday, September 27.
What This Means for Your Texas Matters
During the system outage on September 25:
- Certificates of Fact cannot be ordered.
- Certified copies and plain copies cannot be obtained.
- Business entity filings may still be submitted over the counter, but will not be processed until the new system is implemented.
- Unless a filing is rejected by the Secretary of State, filings submitted over the counter on September 25 are expected to receive a September 25 file date.
Filing Deadlines for September 25
To accommodate over-the-counter submission requirements, please note the following cut-off times:
- Same-Day and Next-Day Filings: All requests for same-day or next-day processing must be received by 10:30a CT.
- Standard Expedited and Routine Filings: All other filings must be received by 3:30p CT in order to be submitted over the counter that day.
Planning Ahead
If you anticipate needing Texas certificates, certified copies, or filings with critical deadlines during the transition period, we encourage you to plan ahead and submit requests as early as possible. Texas permits filings to be submitted in advance with either a delayed effective date or a delayed effective condition, which may provide additional flexibility during the platform conversion.
