Final Rule Issued
The U.S. Department of the Treasury’s Financial Crimes Enforcement Network (FinCEN) has issued a final rule that permanently removes the requirement for U.S. companies and U.S. persons to report beneficial ownership information (BOI) under the Corporate Transparency Act (CTA). The rule became effective upon publication in the Federal Register.
In addition to ending the reporting requirement, FinCEN announced that it will delete information it reasonably believes pertains to U.S. persons from the beneficial ownership information database. This includes information previously submitted regarding beneficial owners, company applicants, and individuals who obtained FinCEN IDs.
The final rule makes permanent the exemptions first introduced through FinCEN’s interim rule issued in March 2025, providing long-term certainty for U.S. businesses and business owners.
