Delaware: Statutory Changes Effective August 1

Governor Matt Meyer has signed into law four bills that alter Delaware’s corporation, limited liability company, limited partnership, and partnership statutes.  The changes go into effect on August 1, 2025.

Among other changes, the amendments:

  • Require a corporation to disclose its nature of business on its annual franchise tax report,
  • Prohibit a corporation from using its registered agent’s address as its principal place of business (except when the entity is acting as its own registered agent), and
  • Prohibit a registered agent from using a virtual office to perform its duties.
