The document retrieval section of the Secretary of State's office has been experiencing some delays in processing copy requests. Certified copy requests take 6-9 days (as opposed to 3-5), with Certificates of Good Standing taking 48 hours or more.
Certificates of Good Standing (for corporations only) may be obtained from the satellite offices of the Secretary of State on a same-day basis.

Effective January 1, 2008, all corporations ending their corporate existence (via merger, dissolution, conversion etc.) must file all applicable annual reports prior to or at the time of submission of the filing which is ending their existence. This annual report requirement only applies to corporations.

Annual reports for corporations must be filed online by March 1, 2008, via the Delaware Division of Corporations website at http://ecorp.state.de.us. To calculate the amount due, utilize one of the two methods described on the Secretary of State's website www.state.de.us/corp/frtaxcalc.shtml. Payment options are ACH, Visa, MasterCard, or Discover.

Foreign corporations are required by Section 80.190 of the Nevada Revised Statutes to publish a statement each year (typically no later than March) containing the following information:
>> The name of the corporation;
>> The name and title of the corporate officer submitting the statement;
>> The mailing or street address of the corporation's principal office;
>> The mailing or street address of the corporation's office in Nevada, if one exists; and
>> The total assets and liabilities of the corporation at the end of the year.
The statement must be published in 2 issues of a Nevada newspaper with a total weekly circulation of 1,000 or more.
