Kentucky Limited Partnership Change
The Kentucky General Assembly recently passed new legislation that will require all foreign limited partnerships and foreign limited liability partnerships that originally qualified to transact business in the state prior to June 26, 2007 to re-qualify in order to conduct business in the state during the 2008 calendar year. The Kentucky Secretary of State shall consider any existing foreign limited partnership or existing foreign limited liability partnership that does not re-qualify by January 1, 2008 to be cancelled.

Foreign limited partnerships and foreign limited liability partnerships that qualified to do business on or after June 26, 2007 may not need to re-qualify. If you are unsure whether or not your limited partnership needs to re-qualify, please contact the Kentucky Secretary of State’s Office at (502) 564-2848.

Please be advised that the Kentucky Secretary of the State’s Office has indicated that it will not be sending out notices to existing limited partnerships or existing limited liability partnerships. Therefore, as a courtesy, Capitol Services is notifying all of its registered agent clients that may need to re-qualify under the new legislation. As always, Capitol Services is available to assist you with the necessary filing if you determine that it is necessary for your entity to re-qualify.
